Important regulatory transition

Costa Rica’s Legislative Assembly approved Bill 25.340 in May 2026. The reform is designed to create mandatory SUGEF registration and AML/CFT supervision for covered virtual-asset service providers. At the time of this site review, presidential signature, official publication, secondary rules, and the implementation timetable still require confirmation.

What we coordinate

One connected plan across legal, compliance, banking, and operations.

The project is managed as a practical market-entry build rather than a collection of disconnected documents.

A

Perimeter mapping

Define services, customer locations, money movement, virtual-asset movement, gaming functions, custody, and counterparties.

B

Company & governance

Coordinate incorporation, ownership, corporate objects, governance roles, registered office, and supporting documents.

C

Regulatory readiness

Prepare the SUGEF-transition or gaming-permit workstream with current-status checks and authority-facing documentation.

D

AML/KYC architecture

Build risk assessment, onboarding controls, beneficial-owner checks, monitoring, reporting, recordkeeping, and escalation paths.

E

Banking & payments

Support banking, EMI, processor, merchant-acquiring, stablecoin, and operational payment tracks relevant to the approved model.

F

Ongoing continuity

Arrange corporate maintenance, accounting coordination, regulatory monitoring, policy updates, and compliance support.

Delivery sequence

From business model to launch readiness.

Business-model review

We examine the product, users, target markets, transaction flow, custody, platform functionality, counterparties, and technology.

Legal route & project map

We identify the appropriate Costa Rica pathway, flag target-market dependencies, and define corporate, compliance, tax, and banking workstreams.

Formation, policies & application preparation

Corporate documents, compliance materials, local registrations, and operational onboarding are developed in parallel.

Implementation & handover

We coordinate launch requirements and provide a structured handover for ongoing company, compliance, and regulatory maintenance.
